The Barmenia Insurance Group and the Gothaer Insurance Group are joining forces to form what will be Germany's tenth-largest insurance group. BLD assisted with the merger, providing advice on insurance supervision and contract law, as well as data protection and distribution law.
Once the new Barmenia.Gothaer Finanzholding AG was entered in the commercial register, the merger of the two insurance groups, Barmenia and Gothaer, was legally completed. The closing of the deal was preceded by a good year of intensive preparation, during which BLD acted as legal adviser to both insurers, assisting them with the structuring of the merger, the due diligence process and communications with BaFin.
Under the management of Dr Joachim Grote, Dr Martin Schaaf (insurance contract and supervision law), Dr Alexander Beyer (distribution and data protection law), Jan Binz (insurance contract and supervisory law), Jens-Niklas Vogel (insurance contract and supervision law) and Martin Grünnagel (distribution and data protection law) supported the successful transaction.
